To register and operate as a vendor on NoahBoat, you must meet all of the following requirements:

• Be at least 18 years of age at the time of registration
• Be a resident of India or operate a legally registered business entity in India
• Hold a valid PAN card issued by the Income Tax Department of India
• Possess a valid bank account in India for the purpose of receiving payouts
• Have GST registration if your annual turnover exceeds the applicable threshold under the GST Act
• Not be blacklisted, suspended, or banned from any other e-commerce platform for fraudulent or unlawful activity

By submitting a vendor registration application on NoahBoat, you agree to the following:

• All information provided during registration is accurate, complete, and up to date
• You will promptly notify NoahBoat of any changes to your business details, contact information, or bank account
• Your vendor account is personal and non-transferable — you may not sell, transfer, or assign your account to any third party
• You are responsible for maintaining the confidentiality of your login credentials
• Any activity conducted through your vendor account is your sole responsibility

NoahBoat will review your application within 48 hours. Approval is at NoahBoat's sole discretion. Upon approval you will receive login credentials for your vendor dashboard via email.

As a vendor you are responsible for all product listings on your account. The following standards apply to every listing:

• Product titles, descriptions, and images must be accurate and not misleading
• All product images must be original or licensed — you may not use copyrighted images without permission
• Products must be legally available for sale in India under applicable laws
• All mandatory labelling requirements under Indian law (FSSAI, BIS, Legal Metrology etc.) must be complied with for applicable products
• Stock availability must be kept up to date — listing out-of-stock products is not permitted
• Products must be listed in the correct category as defined by NoahBoat

NoahBoat may also request you to update listings, add additional information, or modify pricing to maintain platform quality. Failure to comply within 48 hours may result in temporary suspension of affected listings.

Vendors are free to set their own product prices subject to the following conditions:

• Prices must include all applicable taxes (GST) unless you opt for exclusive tax display
• You may not list products at a price higher than what you offer on any other platform without prior approval from NoahBoat
• NoahBoat may suggest price adjustments during promotional events and you are free to participate or decline
• Artificially inflating prices before applying discounts is strictly prohibited

All customer payments are collected by NoahBoat through its payment gateway. NoahBoat will remit your earnings after deducting the applicable commission as per your vendor plan.

Payouts are processed via NEFT/IMPS to your registered bank account. NoahBoat is not responsible for delays caused by banking systems or incorrect bank details provided by the vendor.

NoahBoat charges a commission on every completed order. Commission is calculated on the order value excluding shipping charges. The following deductions may also apply:

• Platform Commission — as per your vendor plan (5%, 8%, or 10%)
• Payment Gateway Fee — typically 1.5–2% charged by the payment processor, passed on to the vendor
• Return/Refund Deduction — if a return is approved, the full order amount is reversed and commission is not paid for that order
• Penalty Deductions — for policy violations, late shipment, or customer complaints as determined by NoahBoat

NoahBoat will provide a detailed payout statement with every transfer so you can reconcile all deductions. Disputes regarding payout calculations must be raised within 7 days of the payout date.

Vendors are solely responsible for fulfilling orders placed by customers. The following obligations apply:

• Orders must be confirmed and dispatched within the processing time stated in your listing (maximum 3 business days unless otherwise agreed)
• A valid tracking number must be updated on the platform within 24 hours of dispatch
• Products must be packaged securely to prevent damage during transit
• The product dispatched must exactly match the product listed — substitutions are not permitted without customer consent
• Vendors must use a reliable courier service and are responsible for any transit damage or loss

Failure to dispatch within the committed time will result in automatic order cancellation and a penalty deduction. Repeated failures may result in account suspension.

NoahBoat maintains a customer-first return policy. As a vendor you agree to the following:

• Customers are entitled to return products within 7 days of delivery if the product is damaged, defective, or not as described
• Upon a valid return request being approved by NoahBoat, the vendor must accept the return and bear the return shipping cost
• Refunds will be issued to the customer by NoahBoat and the corresponding amount will be deducted from the vendor's pending payout
• Vendors may dispute a return decision within 48 hours by providing evidence (photos, tracking details, etc.) through the vendor dashboard
• NoahBoat's decision on return disputes is final

The following products and activities are strictly prohibited on the NoahBoat platform:

• Counterfeit, fake, or imitation products of any brand
• Products that infringe on trademarks, patents, or copyrights of any third party
• Alcohol, tobacco, drugs, narcotics, or any controlled substances
• Weapons, ammunition, or explosive materials of any kind
• Pornographic or sexually explicit material
• Products that promote hatred, discrimination, or violence
• Stolen goods or goods obtained through illegal means
• Products banned or restricted under Indian law
• Live animals or animal products that require special licenses
• Pyramid schemes, multi-level marketing products, or get-rich-quick schemes
• Any product requiring a license to sell that the vendor does not hold

By listing products on NoahBoat, you grant NoahBoat a non-exclusive, royalty-free licence to use, display, and reproduce your product images, descriptions, and brand name for the purpose of marketing and promoting your products on the platform and its associated channels (social media, email, ads etc.).

• You confirm that you own or have the right to use all content you upload including images, logos, and text
• You will not copy or reproduce product listings, images, or content from other vendors or third-party websites
• If a third party files a copyright or trademark complaint against your listing, NoahBoat may remove it immediately and you will be solely liable for any resulting claims

NoahBoat's name, logo, and brand assets are protected intellectual property. Vendors may not use NoahBoat's branding in any external communications without prior written consent.

NoahBoat reserves the right to suspend or permanently terminate a vendor account for any of the following reasons:

• Providing false or misleading information during registration or in listings
• Repeated failure to fulfill orders within committed timelines
• Excessive customer complaints or high return/cancellation rates
• Listing prohibited products or engaging in prohibited activities
• Attempting to conduct transactions outside the NoahBoat platform to avoid commissions
• Any behaviour deemed harmful to NoahBoat's reputation or customer trust
• Non-compliance with these terms or any applicable law

In cases of temporary suspension, NoahBoat will notify you via email. You will have 7 days to respond and resolve the issue. In cases of permanent termination, any pending payouts for completed and delivered orders will be processed in the normal cycle. Payouts for disputed or pending orders will be withheld pending resolution.

A vendor may also voluntarily close their account by submitting a written request to info@noahboat.in with 15 days notice.

NoahBoat operates as a marketplace platform connecting vendors with customers. Accordingly:

• NoahBoat is not the seller of record for vendor products and is not responsible for product quality, safety, or compliance with applicable laws
• NoahBoat is not liable for any loss of sales, revenue, or profit resulting from platform downtime, technical issues, or changes to platform policies
• NoahBoat is not responsible for any transit damage, theft, or loss of goods after dispatch by the vendor
• NoahBoat's maximum liability to any vendor in any circumstances shall not exceed the total commission earned from that vendor in the preceding 3 months

These Vendor Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Vijayawada, Andhra Pradesh, India.

Before initiating any legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days. If unresolved, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996.

• NoahBoat may update these terms at any time with 15 days prior notice via email
• Continued use of the vendor account after the notice period constitutes acceptance of the updated terms
• If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force
